Each member identifies and is involved in specific opportunities based on preference and stipulates project specifications based on individual inclinations.

Member involvement in any opportunity is optional. 

For each opportunity, once the required number of members to participate in a project is realized, a project committee to execute the project is formed comprising of participating members and specialists from Group Wave. 

Funding of projects is done by participating members. Project and asset ownership is retained by participating members from inception to conclusion.

Group Wave has one Director, Samuel Mwangi. As a founding Director of Group Wave, Samuel has seen Group Wave’s growth trajectory and has been part of its evolution. He has over 10 years’ experience in Risk Management, more recently in the financial sector regulation. He has overseen complex transactions such as bank mergers and advised multinationals on strategy and risk. He is passionate about serving the public and has been active in public sector and is engaged in charity. It is this passion that drives his desire to achieve home ownership for the underserved urban middle class population in Kenya in an innovative, cost effective yet profitable structure. 

Group Wave has an advisory board consisting of persons with rich diverse backgrounds. They include:

OUR PEOPLE

The Investment

Group Wave is offering Kenya’s 11 million strong urban middle class a chance of owning their own homes using financing obtained through a structured Mortgage Development Real Estate Investment Trust (REIT). The REIT is developing residential units for sale and providing house purchasers with affordable long-term financing. Kenya’s urban middle class mortgage market was estimated by the World Bank to be worth USD 800 million. Designed along the model employed by National Housing Corporation in Kenya, each development will have no less than 200 two-, three- and four-bedroom units.

Real Estate Investment Trust

In Kenya, a REIT is an investment vehicle regulated by the Capital Markets Authority. REITs enable persons to collectively contribute money or money’s worth as consideration for the acquisition of rights or interests in a trust that is divided into units with the intention of earning profits or income from real estate as beneficiaries of the trust. A Development REIT (D-REIT) is a type of REIT in which the investors pool their monies together for purposes of acquiring real estate with a view of undertaking development and construction projects and associated activities. The target return comes from sales proceeds. A Mortgage REIT is a type of REIT through which investors pool their monies together to loan money to owners of real estate. Their revenues are generated primarily from interest that is earned on the mortgage loans. A Mortgage-Development REIT combines both features.

The Capital Markets Authority in Kenya requires REITs to be governed by a few mandatory parties, the key ones being Investors, a Trustee, a manager, and Independent Professionals. The Trustee acts on behalf of Investors and is the party accountable for the development of (in this case residential units). The Manager does supervision, management, and accounting roles on behalf of the investors or unit holders of the REIT.

Proposed Investment

Group Wave is applying to be a REIT Manager and will be the Promoter of the proposed Mortgage Development REIT. As a REIT Promoter, Group Wave will apply to the Capital Markets Authority (jointly with a Trustee) for authorization of the REIT Scheme, offer the initial issue of REIT securities and appoint a Note Registrar and a Transaction Advisor. Once the REIT is successfully approved, Group Wave will, as the REIT Manager, have fiduciary capacity on behalf of REIT securities holders, provide day-to-day management services, maintain proper accounting records and liaise with relevant Government authorities on behalf of the REIT. 

A Mortgage Development REIT with a portfolio of 200 housing units built over a 2-year period requires capital of approximately USD 15 million. Financial projections from the construction, sale and mortgage offering show a 47 percent internal rate of return and annual dividend yields of at least 4.5 percent over 9 years.

A REIT Manager receives compensation of 1.5% of the total assets of the REIT on average, putting the average income on the smallest development of 200 units at USD 259,000 per annum.

It is a long established fact that a reader will be distracted by the readable content of a page when looking at its layout. 

Real Estate

Group Wave is offering a chance for individuals and families to purchase their own homes in desirable suburban locations. The housing communities of over 200 units each are using economies of scale to lower the cost per home. Individuals and groups who qualify will be granted long term financing with favourable interest rates.

The proposed residential developments will be in locations approximately 20 km from the CBD and will comprise of residential units and a few commercial spaces.

The developments will consist of 2-, 3- and 4-bedroom apartments and town houses with plenty of green spaces, outdoor sitting spaces, and recreational facilities. The units will have solar water heating, boreholes for consistent water supply and ample parking spaces. The developments will also have swimming pools, jogging paths, children’s playgrounds, and gyms.

The secure gated communities will have 24-hour CCTV perimeter surveillance, electric fencing, well-lit driveways, and manned gates.

Group Wave intends to facilitate qualifying persons to obtain mortgages with reasonable repayment plans. When considering application for a mortgage, the considerations by a lender regarding the home buyer include the following:

  • Monthly income.
  • Total monthly debt payments (car loans, personal loans and other payments).
  • Credit reference bureau report.
  • Cash available for deposit.
  • How much cash is available as a monthly payment towards the mortgage.

education

Our investment in education sector is aimed at providing efficient and quality education to the primary and high school generation in their most formative and important years. These years form the strongest foundation for their future development. Our aim is to continue a distinctive and effective education system at a more affordable cost and have these savings evident in the school fees pricing.

Our approach to education places emphasis on educating the whole child, covering all aspects of development – intellectual, social, physical, emotional, and spiritual.

Our partnership approach gives families and community members a greater say in determining options for school involvement. It gives them the opportunity to participate in a wide range of decision-making activities and to assume key roles and responsibilities in school improvement efforts.

When schools regard their relationships with families as a partnership in which school and parents/caregivers share responsibility for children’s learning, the result is an increase in quality of education. In addition, there is an increase in the levels and involvement as well as the support that families demonstrate for the school.

We treat parents as collaborators in the educational process, with a strong complementary role to play in children’s’ school learning and behaviour. Parents are encouraged, both formally and informally, to comment on school policies and to share in the decision making.

agriculture

In Kenya, expanding populations in metropolitan areas have increased the need for healthy, affordable, fresh, and processed produce. Urban households are therefore increasingly relying on their own rural food production for their urban-setting food supply. There has therefore been an increase in the number of agricultural and farming financing facilities extended by institutions like banks to doctors, lawyers, teachers, and others who had never before engaged in the agricultural sector – and they are feeling well rewarded by farming.

While a small family operation can turn out a high-quality product, it is limited when it comes to marketing produce to buyers like restaurants and grocery stores that traditionally need to order by volume. Working with other producers to form a cooperative is one strategy for getting a foot in the large retailers’ doors to work with the high-volume buyers. Although cooperatives are usually comprised of full-time growers who have the funds to invest in a full-time salesperson, a twist on the traditional model may be advantageous for smaller and part-time farmers who are willing to work together.

This twist is in networking. This involves working with others to gain advantages not available to individuals. Networking leverages on group activities and resources. Group Wave links these less established players in the agricultural sector to other players.
